GENERAL TERMS AND CONDITIONS AND
CONDITIONS OF CANDID GROUP


CHAPTER 1 GENERAL
DEFINITIONS
CANDID: Candid Group B.V., a private company
with limited liability incorporated under Dutch law,
having its registered office in Amsterdam, with address Johan van
Hasseltweg 27, 1021 KN Amsterdam, registered in the
Dutch trade register under number 34289214.
Services: all services and work performed
within the framework of the Agreement concluded between Client and
Contractor in accordance with these
General Terms and Conditions.
Materials: all information, reports, documentation,
reports, works, advice, software, source or
computer codes or other materials, including analyses,
presentations, designs and quotations, developed or provided by
Contractor, CANDID or one of its
subsidiaries in the context of an Assignment
in digital form or on paper;
Client: the party that has issued the Assignment to
perform Services.
Contractor: the legal entity that is a
subsidiary of and controlled
by CANDID, that has been engaged to perform
the Services and has entered into the Agreement with the Client
.
Agreement, Order or Assignment: the
agreement of assignment between the Client and
Contractor, whereby the Contractor undertakes to perform Services for
the benefit of the Client.

1 SCOPE OF APPLICATION
1.1 Applicability: These General Terms and Conditions apply
to all legal relationships between
Contractor and Client concerning Services performed
or to be performed by
Contractor on behalf of Client.
1.2 Deviations: Deviations from these General
Conditions are only valid if and insofar as they
have been expressly agreed in writing by the parties
.

2 ESTABLISHMENT OF AGREEMENT
2.1 Establishment: The Agreement is established
as soon as the Contractor is in possession of the
order confirmation or the Agreement sent to the Principal
and signed by the Principal partly for approval
.
2.2 Representation: The
order confirmation referred to in article 2.1 is based on the information provided by
the Principal to the Contractor and
is deemed to be an accurate and complete representation of
what has been agreed between the parties.
2.3 Duration: The Agreement is valid for the duration agreed between the parties
. The Agreement ends by
(interim) termination and/or completion of the
Services. Specific term(s) within which the Services
must be completed shall only apply as a fatal term
if this has been expressly and in so many words agreed in writing
in the Agreement.
2.4 Electronically: The parties are permitted to sign the
Agreement and all modifications thereof electronically
. In addition, each party is permitted
sign another copy of the same document.

2.5 Amendments: Amendments to the Agreement must
be signed off in writing by both parties.

3 INFORMATION
3.1 Provision of information by Principal:
Principal will provide or arrange for the Contractor to provide without delay all
information, (auxiliary) materials and assistance (including
access to documents, systems, buildings
and persons) which
Contractor believes it needs for the correct
performance of the Agreement or which it is obliged to obtain under the law
. The information must be
provided in the form and manner requested by
Contractor. If the Principal fails to provide the
information (in good time), the Contractor
is entitled to suspend the (further) performance of the Agreement
with immediate effect.
3.2 Principal's own initiative: In addition,
Principal must, of its own accord, provide the Contractor in good time
with all information of which the Principal
knows or ought reasonably to know that it is of
importance or useful for the correct performance of the
Agreement.
3.3 Reliable information by Principal:
Contractor may expect the information received by it
to be accurate, complete and reliable, even
if it comes from third parties.
3.4 Failure to provide information by
Client: If the performance of the
Agreement is delayed because the Client
fails to fulfill its obligations under Articles 3.1 and 3.2 is not
fulfilled or because the information provided by him
proves to be incorrect, incomplete or unreliable,
the costs arising from this delay will be at the expense
of the Client and the Contracted Party will be entitled
to charge a fee for the resulting extra Services
while the
Contracted Party will also be entitled to suspend the further
performance of the Agreement with immediate effect
.
3.5 Responsibility Client:
Client is responsible for all
management decisions regarding the
Agreement and the use and/or implementation of
the outcomes of the Agreement, as well as for the
assessment of whether the Agreement is appropriate for its
purpose.

4 IMPLEMENTATION OF SERVICES
4.1 Good Contractor: The Contractor shall perform the
Services in accordance with the agreements made between the parties in
the Agreement and these General Terms and Conditions
, to the best of his knowledge and ability and
with the care befitting a good
contractor. However, the Contractor does not guarantee that a
certain result will be achieved. Contractor performs
the Services as an independent contractor and not
as an employee, agent or partner of Client or in
the form of a joint venture. Parties are not
entitled, empowered or authorized to bind the other party
in any way, unless otherwise agreed in writing
.
4.2 Method of performance: Contractor determines
which person or persons from its organization will perform an
Assignment, whereby the provisions of
articles 403 paragraph 2, 404, 407 paragraph 2 and 409 Book 7 of the
Civil Code do not apply. The Contractor
shall further determine in what manner and by what means the
Assignment shall be performed.
4.3 Outsourcing: The Contractor is permitted to outsource
parts of the Services under the Agreement
either to other subsidiaries
of CANDID, or to other third party service providers.
However, the Contractor is solely responsible to the Client
for (the performance of) the Services and
the other obligations under the Agreement.
4.4 Target deadlines: The deadlines specified by Provider
for the performance of the Services
are always target deadlines, unless the parties have agreed otherwise in writing
or it follows from the nature, content or
purport of the Services that these deadlines
are fatal deadlines.
4.5 Additional instructions: If during the
execution of the Agreement Services have been performed which
are additional to or deviate from the instructions or the
Assignment, the notes with
regard to those Services in the administration of
Contractor justify the presumption that those Services have been
performed pursuant to additional instructions and falling under
the Assignment, provided that those notes relate (among other things)
to consultations that took place between the Contractor
and the Client (also) with regard to the aforementioned
Services.

5 CONFIDENTIALITY
5.1 Confidentiality: Parties may not disclose the content and
existence of the Agreement to third parties
. Parties are bound to secrecy and
confidentiality of all data which they have obtained in the context
of the execution of the Agreement
and of which they know or
reasonably should know the confidential nature.
5.2 Exclusions from disclosure: Notwithstanding
Article 5. 1, however, each party shall be permitted to disclose
such information if such
information:
(i) is or becomes generally known due to
causes other than non-compliance with the Agreement; (ii)
subsequently received by either party from
a third party who, to the knowledge of the recipient, has no duty of confidentiality
to the disclosing party with respect to that information; (iii) was already known
to the recipient at the time of disclosure
or was subsequently independently created (iv) is disclosed if
necessary to enforce the rights of
the recipient under the Agreement; (v)
is required to be disclosed under applicable
legislation, rule of law or
professional regulations; (vi) is relevant in any (judicial)
proceeding in which either party is acting on its own behalf
.
5.3 Use of Information: Contractor may, in
compliance with applicable law, provide information
from or about Client to, obtain it from
and share it with CANDID and its subsidiaries, and
other service providers, who may then
collect, use, transfer, store or
otherwise process such information for purposes related
to: (i) performance of the Agreement; (ii) compliance with
supervisory
and legal obligations applicable to Contractor; (iii) prevention of
conflicts of interest; (iv) risk management and
quality assessments of and by Contractor and
CANDID; (v) internal accounting and administrative
purposes of Contractor and CANDID; (vi)
improvement of existing services and development of
new services by Contractor and CANDID; (vii) IT purposes,
including untraceable and anonymized
use in the context of establishing, pursuing or
maintaining best practices, statistics, research
and/or benchmark studies.
5.4 Period: The obligations of confidentiality and non-disclosure
arising under the Agreement
shall remain in effect indefinitely after termination of
the Agreement.

6 INTELLECTUAL PROPERTY
6.1 No transfer: The performance of the
Agreement by the Contractor does not also lead to
a transfer of intellectual property rights of
the Contractor. All intellectual property rights that
arise during or result from the performance of the
Agreement will accrue to the Contractor insofar as
these rights do not (also) accrue to third parties. All
intellectual property rights already vested in the Client prior to the
Agreement will remain vested in
Client.
6.2 Use of IP Rights: Unless the Agreement
provides otherwise, the Contractor grants to
Client a right of use in view of the
copyrights, database rights and/or other
intellectual property rights that can be exercised - at any place and at
any time - with respect to
the results of the Services performed. This
right of use includes any use of the Materials and of
the Services within the limits of the purpose for which and
the persons for whom such Materials are prepared. The
use of the Materials and Services for any other
purpose than set forth in the Agreement, as well as the
disclosure thereof to others than those for
whom such results have been prepared in accordance with the
Agreement, is permitted only after
written consent of Contractor.
Contractor grants the right of use from the
Agreement to Client free of charge at the
time such right arises.

7 COMPENSATION
7.1 Calculation: The fee for the Services to be performed under the
Agreement is calculated on
basis of the time spent on those Services
multiplied by the hourly rate used by Contractor
or in accordance with what the parties
have agreed on this point in the Agreement, and
is exclusive of VAT. Unless the parties have agreed otherwise
, costs incurred in the context of the
Agreement - including overhead and
travel expenses and other out-of-pocket costs, as well as
costs of third parties involved in the performance of the
Agreement - are not included in the
fee and shall be charged separately to the Client
. The fee is due for
so far as the Services have been performed. The payable
fee does not depend on the results of the
Services performed under the Agreement.
7.2 Adjustment: If a change occurs in wages and/or costs after the
Agreement has been concluded but before the completion of the Assignment
,
Contractor is entitled to adjust the fee
accordingly.
7.3 Price indexing: the Contractor may annually increase the agreed fee or budget
on 1
January on the basis of the service price index figure for the
year in which the Services commenced (Service
start=100) as determined and published by the
Central Bureau of Statistics (CBS), unless the
Agreement provides otherwise.

.4 Periodic Invoicing: The fee, where appropriate increased by expenses and
declarations of third parties involved in the performance of the Agreement
will be charged to the Client periodically and in principle
monthly,
unless the parties provide otherwise in the Agreement.

8 PAYMENT AND INVOICING
8.1 Currency and term:
Payment by Client
shall be made in Dutch currency or for
Contractors having their principal place of business in the United
Kingdom and if Contractor is a British
legal entity, in the currency of the United Kingdom,
within thirty (30) days from date of invoice, without any
deduction, discount or set-off, by deposit or
transfer into a
bank account to be designated by Contractor, unless otherwise agreed in writing by the parties
8.2 Interest: If Principal fails to pay within the period specified in article
8.1, Contractor
shall be entitled, without notice of default and without prejudice to Contractor's
other rights, to charge Principal the
statutory commercial interest over the period
from the payment deadline referred to in article 8.1 until
the day of payment in full.
8 .3 Collection costs: All judicial and
extrajudicial (collection) costs incurred by Contractor
in connection with non-performance or late performance by
Principal of its payment obligations shall be borne by Principal
.
8.4 Security: Contractor shall at all times be entitled
to demand from Principal a reasonable advance payment or (additional)
security for the performance of its
payment obligations. If Principal does not comply with this
request or does not comply in time, Contractor
is entitled, without prejudice to its other rights, to suspend the
(further) performance of the Agreement with
immediate effect, in which case all that
Principal owes Contractor on any account whatsoever
will become immediately due and payable.
8.5 Multiple Principals:
If the Order
is issued jointly by several Principals, they are jointly and severally liable for the
fulfilment of the payment obligations arising from the Agreement
if and as soon as the Services are performed for
their joint benefit.
8.
6 Retention: the Contractor is entitled to retain possession of
documents, works, materials or documents in the
broadest sense of the word, produced, created or
modified for the benefit of the Client until the Client has paid all amounts owed to the Contractor in
connection with the performance of the Agreement
or has (prematurely) terminated the
Agreement, except
if and insofar as the Client's interests outweigh the Contractor's interests
.
8.7 Term: If Client has any questions, complaints
or wishes to make a claim with respect to
the invoice amount and/or the related Services performed by
Contractor, Client shall submit such
claim in writing to Contractor within thirty
(30) days after the invoice date with respect to the
issue about which Client wishes to ask questions or claim
or within thirty (30) days after discovery
of the issue about which Client wishes to ask questions or claim
. In the latter case, the Customer must show
that he could not reasonably have discovered the matter he wishes to question or claim
earlier.
8.8 No suspension or set off: Customer
is not authorized to suspend
or set off its payment obligations on the grounds of questions, complaints or claims.
However, if and to the extent that the question, complaint or claim of
Client is well-founded in the opinion of Contractor
, Contractor shall be entitled at its
discretion to adjust the invoice amount, to improve or repeat the
Services in question, or to refund a
portion of the fee already paid
without continuing to perform the Services.
8.9 Forfeiture: If the Client fails to submit his request or
claim within the time limits specified in this article
, all his rights and claims on any
grounds whatsoever in respect of the matter which he requested, claimed or could have requested
or claimed within that
time limit shall lapse.

9 AANSPRAKELIJKHEID
9.1 Omvang: Opdrachtnemer is slechts aansprakelijk
voor schade geleden door Opdrachtgever (en aan
Opdrachtgever gelieerde partijen ten behoeve van wie
Diensten worden verricht) die het rechtstreekse gevolg is
van een toerekenbare tekortkoming in de uitvoering van
de Overeenkomst (wanprestatie) of onrechtmatige daad,
dan wel anderszins krachtens het toepasselijke recht.
Voornoemde aansprakelijkheid van Opdrachtnemer is
beperkt tot het bedrag van het honorarium dat
Opdrachtnemer aan Opdrachtgever in rekening heeft
gebracht voor het verrichten van de Diensten waardoor de
schade is veroorzaakt, waarbij uitsluitend het honorarium
in aanmerking wordt genomen dat betrekking heeft op de
laatste zes (6) maanden waarin die Diensten zijn verricht
en is te allen tijde beperkt tot het bedrag dat de
verzekeraar in het betreffende geval bereid is uit te keren.
CANDID noch een van haar andere
dochtermaatschappijen, anders dan Opdrachtnemer, kan
door Opdrachtgever aansprakelijk worden gesteld voor
enige Diensten of verplichtingen of een tekortkoming
daarvan uit hoofde van de Overeenkomst of anderszins op
enigerlei wijze. Opdrachtnemer noch CANDID is
aansprakelijk voor gevolgschade of indirecte schade of
verlies, waaronder begrepen maar niet beperkt tot schade
door te late levering, winstderving of verlies van
besparingen, inkomstenderving, verlies van goodwill of
reputatie, verlies of beschadiging van gegevens of
soortgelijke verliezen.
9.2 Informatie: Opdrachtnemer is niet aansprakelijk voor
schade die is ontstaan doordat (i) Opdrachtgever niet
heeft voldaan aan zijn informatieplicht op grond van artikel
4.1 en 4.2, of doordat (ii) de door Opdrachtgever
verstrekte informatie onjuist, onvolledig of onbetrouwbaar
is gebleken.
9.3 Overmacht: Opdrachtnemer is niet gehouden tot het
nakomen van enige verplichting jegens Opdrachtgever
indien hij daartoe gehinderd wordt als gevolg van een
omstandigheid die niet is te wijten aan zijn schuld, noch
krachtens de wet of in het verkeer geldende opvattingen
voor zijn rekening komt. Onder overmacht wordt in deze
Algemene Voorwaarden verstaan naast hetgeen
daaromtrent in de wet en jurisprudentie wordt begrepen,
alle van buiten komende oorzaken, voorzien of nietvoorzien,
waarop Opdrachtnemer geen invloed kan
uitoefenen, doch waardoor Opdrachtnemer niet in staat is
zijn verplichtingen na te komen. Werkstakingen in het
bedrijf van Opdrachtnemer, van derden of van
Opdrachtgever worden daaronder begrepen.
Opdrachtnemer heeft ook het recht zich op overmacht te
beroepen, indien de omstandigheid die (verdere)
nakoming van de overeenkomst verhindert, intreedt nadat
Opdrachtnemer zijn verbintenis had moeten nakomen.
Indien de overmacht langer duurt dan vijfenveertig (45)
dagen is Opdrachtnemer gerechtigd de Overeenkomst te
ontbinden voor het gedeelte dat zij niet kan nakomen.
Partijen hebben geen recht op vergoeding van enige
geleden of te lijden schade als gevolg van de ontbinding
van de Overeenkomst in verband met overmacht.
9.4 Billijk aandeel: Indien Opdrachtnemer uit hoofde
van de Overeenkomst of anderszins in verband met de
Diensten jegens Opdrachtgever (of jegens andere aan
Opdrachtgever gelieerde partijen ten behoeve van wie
Diensten worden verricht) aansprakelijk is voor schade
waaraan ook andere personen hebben bijgedragen, is
Opdrachtnemer niet hoofdelijk maar hoogstens voor een
gelijk deel met die andere personen aansprakelijk. De
aansprakelijkheid van Opdrachtnemer is in ieder geval
beperkt tot dat deel van de totale schade dat redelijkerwijs
aan Opdrachtnemer kan worden toegerekend, uitgaande
van de mate waarin de aan Opdrachtnemer toe te rekenen
omstandigheden tot de schade hebben bijgedragen.
9.5 Beperking: Opdrachtnemer is steeds bevoegd de
schade van Opdrachtgever zoveel mogelijk te beperken, te
verminderen of ongedaan te maken, waartoe
Opdrachtgever alle medewerking zal verlenen.
9.6 Vrijwaring: Opdrachtgever vrijwaart Opdrachtnemer
voor aanspraken van derden ter zake van schade geleden
door die derden die verband houdt met of voortvloeit uit
de door Opdrachtnemer verrichte Diensten, tenzij
Opdrachtnemer voor die schade jegens Opdrachtgever
aansprakelijk is op grond van het bepaalde in dit artikel.
9.7 Periode: Opdrachtgever kan op een gebrek of
tekortkoming in de uitvoering van de Diensten geen
beroep meer doen, indien hij niet schriftelijk bij
Opdrachtnemer heeft geprotesteerd binnen een termijn
van drie (3) maanden nadat hij het gebrek of de
tekortkoming heeft ontdekt of redelijkerwijs had kunnen
ontdekken.
9.8 Verhaal: De Opdrachtgever oefent zijn (eventuele)
vorderings- en verhaalsrechten met betrekking tot de
Diensten of anderszins voortvloeiend uit de Overeenkomst,
met inbegrip van verliezen en schadevergoedingen,
uitsluitend uit tegen de Opdrachtnemer en niet tegen
CANDID of een van haar andere dochterondernemingen,
anders dan de Opdrachtnemer, noch tegen de
(bestuurders van) aandeelhouders, directeuren,
functionarissen, partners of werknemers van CANDID.
CANDID of een van haar dochtermaatschappijen, niet
zijnde Opdrachtnemer of haar (bestuurders van)
aandeelhouders, directeuren, functionarissen, partners of
werknemers kunnen door Opdrachtgever niet aansprakelijk
worden gesteld voor enige vordering tot Diensten,
verplichtingen uit hoofde van de Overeenkomst, schade of
verliezen of anderszins op enigerlei wijze.

10 BEËINDIGING
10.1 Onbepaalde duur en vroegtijdige beëindiging:
Indien de Overeenkomst van onbepaalde tijd is, is ieder
der partijen te allen tijde bevoegd de Overeenkomst op te
zeggen of te beëindigen, met inachtneming van een
opzegtermijn die onder de gegeven omstandigheden
redelijk is en behoudens eventuele schade. Als de
Opdrachtgever de Overeenkomst voor onbepaalde tijd
vroegtijdig en zonder reden wil beëindigen, heeft hij een
minimale opzegtermijn van drie (3) maanden. Indien er
sprake is van een materiële tekortkoming in de nakoming
en deze tekortkoming niet binnen een periode van
vijfenveertig (45) dagen na schriftelijke kennisgeving naar
tevredenheid van de andere partij substantieel is hersteld,
wordt de Overeenkomst voor onbepaalde tijd na
voornoemde periode beëindigd.
10.2 Bepaalde duur: Indien de Overeenkomst van
bepaalde tijd is, kan deze niet voor het einde van die
periode worden beëindigd, tenzij (i) er zwaarwegende
redenen (gewichtige redenen) zijn voor Opdrachtnemer
om de Overeenkomst voortijdig te beëindigen; of (ii)
partijen schriftelijk anders overeenkomen en met
inachtneming van het hierna in artikel 10.3, 10.4 en 10.5
bepaalde.
10.3 Onmiddellijke beëindiging: Opdrachtnemer kan
de Overeenkomst schriftelijk met onmiddellijke ingang
geheel of gedeeltelijk beëindigen, indien (i)
Opdrachtnemer naar redelijkheid en billijkheid vaststelt dat
zij niet langer in staat is om de Diensten conform de
toepasselijke wetgeving of de geldende gedragsregels uit
te voeren, of indien (ii) na aanvaarding of voortzetting van
de Opdracht informatie aan het licht komt die, ware zij ten
tijde van de aanvaarding of voortzetting van de Opdracht
aan Opdrachtnemer bekend geweest, Opdrachtnemer de
Opdracht niet of gewijzigd zou hebben aanvaard of
voortgezet, tenzij Opdrachtnemer in staat is de
Overeenkomst met Opdrachtgever op adequate wijze aan
te passen, of indien (iii) zich een wijziging in de
zeggenschap over Opdrachtgever voordoet, waarna
Opdrachtnemer niet langer in staat is de Diensten te
verrichten vanwege een (potentieel) belangenconflict met
andere opdrachtgevers van CANDID en haar
dochtermaatschappijen. Opzegging dient schriftelijk te
geschieden.
10.4 Insolventie: In geval van liquidatie, faillissement,
surseance van betaling of onderdeel van een ingrijpende
schuldsanering van de Opdrachtgever kan Opdrachtnemer
de Overeenkomst met onmiddellijke ingang beëindigen en
zijn de door de Opdrachtgever verschuldigde bedragen
direct opeisbaar.
10.5 Kredietverzekering: Opdrachtnemer kan de
Overeenkomst beëindigen met inachtneming van een
schriftelijke opzegtermijn van zeven (7) dagen, indien
Opdrachtnemer niet in staat is een kredietverzekering met
betrekking tot Opdrachtgever af te sluiten of in stand te
houden en/of Opdrachtgever niet in staat of bereid is een
voorschot te betalen of andere passende garanties te
verstrekken. Partijen komen overeen dat Opdrachtnemer
gedurende voornoemde periode gerechtigd is al haar
verplichtingen uit hoofde van de Overeenkomst
automatisch op te schorten, zonder tot enige
schadevergoeding jegens Opdrachtgever gehouden te zijn.
10.6 Betaling tot wederopzegging: Indien de
Overeenkomst tussentijds wordt beëindigd, is
Opdrachtgever gehouden tot volledige betaling van het tot
aan de beëindiging van de Diensten verschuldigde
honorarium, in voorkomend geval vermeerderd met de in
artikel 8 bedoelde kosten en kosten van bij de Opdracht
ingeschakelde derden of uitbesteding, zonder enig recht
op verrekening.
10.7 Geen herroeping of vernietiging: Behoudens
voor zover uitdrukkelijk schriftelijk bepaald in de
Overeenkomst, sluit elke partij het recht uit of doet
onherroepelijk afstand van het recht om de Overeenkomst
geheel of gedeeltelijk te ontbinden (ontbinden) of te
vernietigen (vernietigen), om zich geheel of gedeeltelijk te
beroepen op artikel 6:265 e.v. BW door middel van een
buitengerechtelijke verklaring of om de gehele of
gedeeltelijke ontbinding of vernietiging van de
Overeenkomst in rechte te vragen of te vorderen. Voorts
doen partijen geheel of gedeeltelijk afstand van hun
eventuele rechten om wijziging van de Overeenkomst te
vorderen op grond van artikel 6:230 BW.
10.8 Teruggave: Bij een voortijdige beëindiging of einde
van de Opdracht zullen alle materialen, documenten en
bescheiden die betrekking hebben op Opdrachtnemer of
CANDID of een van haar dochterondernemingen en die in
verband met de Opdracht aan Opdrachtgever zijn
verstrekt, aan Opdrachtnemer worden geretourneerd en
zal Opdrachtgever geen kopieën van deze materialen,
documenten en bescheiden behouden, behoudens die
welke betrekking hebben op de verrichte en betaalde
Diensten.

11 AMENDMENT OF GENERAL
CONDITIONS
11.1 Amendment: Contractor is authorized to amend these
General Conditions. The General Terms and Conditions as amended by
Contractor shall
apply to the Customer after thirty (30)
days have elapsed after the Customer has been notified in writing of
this amendment, unless
the Customer notifies
Contractor in writing of its objection to the amendment
within that period. In the latter case, the Client is authorized to terminate
the Agreement with effect from the
moment at which the amended General Terms and Conditions would become applicable to
the Agreement, however
only if the amendment involves a substantial aggravation
of the Client's obligations under
the Agreement.
Notice of termination must be given in writing
11.2 Objections: If the Client has communicated its
objections to the amendment in a timely manner,
without having validly terminated the Agreement
, the unchanged General Terms and Conditions
shall remain in force between the parties until the Assignment has been completed or
the Agreement has been terminated, but at most until six (6)
months after the end of the aforementioned thirty
(30) day period. If the Agreement continues thereafter,
the amended General Terms and Conditions
shall apply from that time.

12 OTHER
12.1 Applicable law: All legal relations
(both contractual and extra-contractual) between
Contractor and Principal arising from the
Agreement to which these General Terms and Conditions of
apply are governed by Dutch law.
12.2 Disputes: All disputes relating to
the legal relationship between Contractor and
Principal to which these General Terms and Conditions of
apply shall be submitted exclusively
to the competent court in the district of
Amsterdam, the Netherlands, unless provisions of mandatory
law dictate otherwise.
12.3 Titles: The headings or titles of the articles in
these General Terms and Conditions are intended solely to
enhance readability. No rights may be derived from
.
12.4 No-hire: The Client shall not
employ or attempt to induce any of the Contractor's employees involved in the performance of the
Services to become directly or
indirectly temporarily or permanently employed by the Client,
or directly or indirectly perform work for the benefit of
the Client, whether in employment or otherwise,
during the term of
the Agreement or any extension thereof and
during a consecutive period of twelve (12)
months.
12.5 Severability: If any provision
of the Agreement is found to be wholly or partially illegal,
invalid or otherwise unenforceable, the
remaining provisions shall remain in full force and effect.
12.6 Assignment: No party may assign any of its rights under
these terms and conditions or the Agreement in whole
or in part to any person without
prior written consent of the other
party, except that the Contractor may assign (including pledge) its rights under these
terms and conditions and the Agreement in whole or in part
without
consent to any company affiliated with
it over which it has control
or to any successor or to any of its
financing parties.
12.7 Use of names:
Neither party
is permitted to use or publicly refer to the name, logo or trademark of the
other party without the prior consent of the
other party, except that the Contractor is
permitted to use the Client's name to
identify it as one of its clients.
12.8 Workspace: If (employees of)
the Contractor is required to perform Services on the
premises of the Client, the Client shall make available a
suitable workspace which complies
with the Working Conditions Act and the policy rules of the Ministry of
Social Affairs and Employment regarding Offices and
Computer workplaces.
12.9 Language: In the event of discrepancies between the
English language General Terms and Conditions and the
Dutch language version, the Dutch language
version shall prevail and the Dutch interpretation of legal
terminology shall be decisive.

CHAPTER 2 HOSTING SERVICES
The specific provisions in this chapter apply, in addition to the
general provisions, if and insofar as
Contractor provides hosting services to
Client. If the specific provisions deviate
from the general provisions, these specific
provisions shall prevail.
1 Storage and access: There is talk of hosting services
if the Contractor stores data (including personal data)
for the benefit of
the Client and this data is made accessible to the Client via the Internet
.
2 No guarantee: Contractor does
not guarantee the availability, performance or accessibility of
its systems without interruption in connection with its
hosting services.
3 Suspension: If and to the extent
Contractor deems it necessary, Contractor
shall be free to suspend access to its hosting services, make
its systems inaccessible and/or put them out of
use if this is necessary for the
performance of maintenance work, the implementation
of improvements or to ensure the security of
the hosting services.
4 Backup: Contractor is not obliged to make backups
of all data stored by Client
on Contractor's systems.
Client is itself responsible for making
backups with the frequency that Client deems adequate
.
5 Exclusion: Liability of
Contractor or CANDID for damages resulting from
data loss or corruption in connection with its
hosting services is excluded.

CHAPTER 3 DETACHING SERVICES
The specific provisions in this chapter apply, in addition to the
general provisions, if and insofar as
Contractor provides secondment services for the benefit
of Client, including an employee
of Contractor who performs work for
the benefit of, with and under the direction and supervision of
Client. If the specific provisions deviate
from the General Terms and Conditions, these specific
provisions shall prevail.

Disclosure: The Client shall be obliged to fully inform
Contractor of all relevant
terms and conditions of employment applied by the Client in respect of positions that are comparable to the position
for which the Contractor's employee is seconded to
the Client, in order to
ensure that the Contractor's employee
is remunerated at least equally for his work
with the Client.
2 Indemnification: If and insofar as
Client fails to fulfill its duty of disclosure,
Client shall indemnify Contractor on first request
against all actions or claims by the employee(s) of
Contractor, the tax authorities and the applicable
UWV, including all related costs
(for, inter alia, legal and tax advice) incurred by
Contractor.
3 Insurance: The Client shall be obliged,
before the Contractor's employee commences his/her
work with the Client, to provide proof
of the professional or
accident liability insurance taken out and
to maintain this insurance during the employment of the
Contractor's employee and to pay the
premiums due punctually each time.
4 Fees: The Contractor incurs costs in
connection with the services and deployment of its
personnel. These costs may include
recruitment costs, training costs and similar or
related costs, as well as the profit mark-up necessary for healthy
business operations. Client
shall therefore owe a fee to
Contractor if Client enters into an employment relationship with (an)
employee(s) of Contractor on an interim basis or
within six (6) months after Contractor has made
employee(s) available to
Client,
or if and to the extent that
the Contractor's employee(s) performs work and/or activities for
the Client or companies with which
the Client cooperates within a group (i.e. an Event)
directly or indirectly, and whether or not for payment,
all this in the broadest sense of the word.
5 Introduction: Without prejudice to the provisions of
article 4, the Client shall also owe the Contractor a
fee if a (prospective) employee
is introduced by the Contractor in any way to the Client
as a prospective employee and
the Client has entered into a direct employment contract with the relevant (prospective) employee
, within a
maximum period of six (6) months thereafter or
if and to the extent that the (prospective) employee has performed work and/or activities
for the Client directly,
indirectly or through third parties, without
the Client and the Contractor having reached agreement
on the hourly rate and without
the Contractor having made the (prospective) employee available
to the Client.

CHAPTER 4 MEDIA PLACEMENT
The specific provisions in this chapter apply, in addition to the
general provisions, if and insofar as
Contractor performs Media Placement for the benefit of
Client. If the specific provisions deviate
from the general provisions, these specific
provisions shall prevail.
DEFINITIONS
Handling: the administrative handling and invoicing
with the Media Operator, as well as all activities carried out by
Contractor itself and related
to it, but excluding the actual
execution of the Media Placement by the Media Operator.
Handling Fee: the
fee payable by Client for the Handling.
Media: printed, audiovisual, aural and digital
media, all in the broadest sense.
Media Operator: the company that operates Media to create
Media Placements.
Media Sales: the total amount charged by a Media
operator in connection with a
Media Placement.
Media Placement: an advertisement or campaign that is (to be) published in Media
on behalf of the Client in the
context of the Assignment.

1 Effectuation: Contractor has the
full authority to effectuate the Media Placement(s) on behalf of
Client with the Media Operator(s),
including the right to negotiate and enter into contracts with Media Operators based on its own
experience and in accordance with the Agreement
.
If a Media Operator brings a claim
against the Contractor in connection with an Assignment
or a specific Media Placement made by the Contractor
on behalf of the Client, the Contractor
shall first negotiate and attempt to settle such claim
taking into account the reasonable and
commercial interests of the Client, where
the Client may be secondarily involved in these
negotiations, to the extent that
the Client reasonably demonstrates that its interests
and the interests of the Contractor are substantially conflicting
.

2 Guarantees: Client guarantees that it
will not have any direct contact with Media Operators or
third parties about the Media Placements that are part
of the Agreement. However, if the Client
contacts and makes agreements
with Media Operators, for example, this will have no consequences
for the Agreement, including the fact that the Client
cannot pass on these agreements or the financial consequences thereof to the Contractor in
a detrimental manner and that
the Client will always have an
exclusive obligation towards the Contractor to fulfill the
obligations arising from the Agreement.

The Client guarantees that it will indemnify the Contractor at its
first request for all financial
consequences of acting in violation of this provision
(for example, higher costs of the purchased
Media Placement or fees and commissions lost by the Contractor).

3 Responsibility: Contractor or
CANDID is not responsible and cannot be held
liable for expressions or services of Media Operators
or other third parties.

4 Cancellation or Modification: If a
Media Placement is cancelled or
modified in whole or in part, this can only be done at the direction or initiative of the
Media operator and under its terms and conditions.
Contractor may still charge Client for the costs associated with
modifications, cancellations and any additional costs
.

5 Price Changes: Contractor may pass on
changes in the factors affecting Contractor's
prices and fees, including
prices of third parties, such as Media Operators or
suppliers, fees, such as commissions, by those
third parties to Contractor, foreign exchange rates,
insurance rates, circumstances leading to a
change in the Client's
risk profile established by Contractor and other levies or
taxes, directly to Client.
Contractor is further entitled to make annual adjustments, such as inflation adjustment or
rate changes to the rates charged by third
parties, as of January 1,
each year. The Contractor can also do this
during the year with retroactive effect
to January 1 of that year, if the Order has already been issued in the
preceding year.

6 Estimates:
If a Media Operator charges a higher price in
respect of a Media Placement than previously estimated by the Contractor or the Media Operator
or imposes a fine or additional levies in respect of that
Media Placement,
that price increase, penalty or additional levies, whether or not
imposed as a result of not spending a
certain amount of minimum Media turnover, will be for the account
of the Client.

7 Fee: The Contractor is entitled to
a fee. This fee shall consist of:
a) a fee based on the
hours worked and the applicable hourly rate; or
b) a Handling fee; or
c) a financial profit or commission, however
called; or
d) a combination of the items mentioned above under a),
b), c).

8 Commissions: The Contractor is always and
exclusively entitled to receive and
keep for itself all commissions or (in)direct
financial benefits, unless the parties stipulate otherwise in the Agreement
. It is irrelevant whether the commissions are attributable
to or related to the money spent
Principal through the Contractor with Media Operators
and/or other third parties. The only exception
to this is when it explicitly follows from the agreement that
a certain percentage of the commission(s) or any
financial proceeds received by the Contractor directly for
the Media sales from the Client shall accrue
to the Client. This commission refund is given to
the Client by way of a discount on
the invoices related to the Media Sales, unless
otherwise agreed upon in the Agreement. All
commissions, rebates, rate reductions and other
financial benefits derived by Contractor, CANDID or any
of its subsidiaries from, for example,
its reputation, customer value and other value to Media Operators,
the volume of all Media Placements by
Contractor, CANDID or any of its
subsidiaries during any period, however,
shall always accrue exclusively to Contractor.

9 Rates: If no agreement is
reached on the rates applicable to
certain Media Placements and Provider performs Media Placements for Client
at a
provisional rate, Provider shall not be liable to Client
for differences between the provisional rate
and the final rate applicable to those
Media Placements. Client shall owe to Contractor
the final rate
applicable to the Media Placements.

10 Exhibit Copies: If the Client desires more
proof copies than are provided by the Media Operator
free of charge, the
Contractor shall request these additional proof copies
from the Media Operator and - if the Media Operator
provides or is able to provide them - hand them over to the
Client upon payment by the
Client of the costs involved.

11 Force Majeure: In addition to the
general provisions, Force Majeure shall include the refusal or
failure of a Media Operator to perform the
Media Placement in a timely or proper manner, other
failures of the Media Operator, digital
problems such as power outages virus infections and
Internet outages, and any circumstance independent of the Contractor's
and Client's will as a result of which
the Services under the Agreement or the
Media Placement cannot be performed
in a timely manner and/or in full.

12 Liability: Contractor is not
liable for the damage suffered by Client or third parties
as a result of the misleading, insulting,
indecent or otherwise incorrect and/or unlawful
nature of the form and content of the Media Placement made
by Contractor for the benefit of Client or
his order. Any costs for
rectification, modification or cancellation of a Media Placement
shall be borne by Client.
